1. Agreement to Terms

By accessing or using Cliobot ("the Service"), operated by Cliobot Pty Ltd (ABN pending) ("we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our Service.

These Terms of Service are governed by the laws of Australia, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

2. Description of Service

Cliobot is an AI-powered support automation platform designed for Discord communities and companies. The Service provides automated responses to frequently asked questions, intelligent escalation of complex queries, and analytics through a web-based dashboard.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account using Discord authentication. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 13 years of age to use this Service, or the minimum age required in your jurisdiction.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, or illegal content
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any commercial purpose without our express written consent
  • Scrape, data mine, or extract data using automated means
  • Reverse engineer or attempt to derive the source code of the Service

5. Content and Data

5.1 Your Content

You retain ownership of any content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service.

5.2 AI-Generated Content

The Service uses artificial intelligence to generate responses. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You acknowledge that:

  • AI-generated responses are provided "as is" without warranties
  • You are responsible for reviewing and verifying AI-generated content before use
  • We are not liable for any consequences arising from reliance on AI-generated content

5.3 Prohibited Content

You must not submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. We reserve the right to remove any content that violates these terms.

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

We comply with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth) and take reasonable steps to protect your personal information from misuse, interference, loss, unauthorized access, modification, or disclosure.

7. Fees and Payment

Certain features of the Service may require payment of fees. All fees are quoted in Australian Dollars (AUD) unless otherwise specified and include GST where applicable.

Payment terms will be specified at the time of purchase. You agree to pay all applicable fees and authorize us to charge your chosen payment method. Fees are non-refundable except as required by Australian Consumer Law.

8. Intellectual Property Rights

The Service, including all content, features, functionality, software, and design, is owned by Cliobot Pty Ltd and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

9. Third-Party Services

The Service integrates with Discord and may integrate with other third-party services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

10. Disclaimers and Limitation of Liability

10.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10.2 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

10.3 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful components transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Where liability cannot be excluded, our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or AUD $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cliobot Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us or through the account settings in the dashboard.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically for any changes.

14. Dispute Resolution

If a dispute arises between you and Cliobot Pty Ltd, we encourage you to contact us first to seek a resolution. We are committed to resolving disputes in good faith.

Any dispute that cannot be resolved through negotiation shall be subject to the exclusive jurisdiction of the courts of Australia.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cliobot Pty Ltd regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
